Terms and Services for TimeGen's Workforce Management Solution
1. Identification of the Service Provider
2. Purpose of the Service
TIMEGEN offers a SaaS solution for:
Recording and monitoring of working hours
Team and project management
Compliance with labor obligations
Incident and documentation management
Point geolocation functionalities
Information processing using OCR technology
The service is provided exclusively online.

3. Nature of the Service
The service is provided under the “Software as a Service” (SaaS) model.
The Client acquires a limited, non-exclusive, non-transferable and non-sublicensable right of use during the term of the contract.
TIMEGEN retains all intellectual property rights to the software.
4. Trial Period
The Customer can enjoy a free trial period of 14 days.
Once the trial period has ended, the service will automatically switch to a paid service unless expressly cancelled beforehand.
5. Duration and Renewal
The contract will have an initial duration of 12 months unless otherwise agreed.
It will be automatically renewed for successive periods of 12 months unless cancelled at least 30 days before the expiry date.
6. Price and Payment Terms
Prices are shown excluding VAT.
Invoices are issued monthly with a 14-day due date.
Failure to pay may result in:
Service suspension
Contractual resolution
Accrual of legal interest
TIMEGEN may update prices once a year with a minimum of 60 days' notice.

7. Customer Obligations
The Client agrees to:
Use the service in accordance with the law
Ensure the accuracy of the data entered
Safeguard access credentials
Do not reverse engineer
Do not use the service for illegal purposes
The Client is responsible for the actions taken under their account.

8. Availability and Service Level
TIMEGEN will make reasonable efforts to maintain high availability.
Uninterrupted or error-free operation is not guaranteed.

9. "As Is" Service
The service is provided "as is" and subject to availability.
TIMEGEN does not guarantee that the service will meet specific customer needs beyond the functionalities described.
10. Dependence on External Suppliers
The service may depend on external infrastructure and technology providers.
TIMEGEN will not be liable for interruptions caused exclusively by failures of said providers when they are beyond its reasonable control.
11. Data Protection
The Client acts as the Data Controller.
TIMEGEN acts as a Data Processor in accordance with Regulation (EU) 2016/679 (GDPR).
The Data Processing Agreement forms an integral part of these Terms and is available at:

12. Security
TIMEGEN applies appropriate technical and organizational measures in accordance with Article 32 of the GDPR.
No biometric data is processed.
There is no continuous monitoring.
13. Intellectual Property
All rights to the software, code, design, documentation and trademarks belong to TIMEGEN or its licensors.
The Client does not acquire any ownership rights over the system.

14. Confidentiality
The parties agree to keep confidential any non-public information exchanged during the contractual relationship.
15. Limitation of Liability
TIMEGEN will not be responsible for:
Indirect damages
Loss of profits
Data loss
Consequential damages
TIMEGEN's total accumulated liability will be limited to the amount actually paid by the Client in the 12 months prior to the event giving rise to the claim. This limitation will not apply in cases of intent or gross negligence under applicable law.

16. Backups
The Client is responsible for keeping their own backup copies when they deem it necessary.
The system allows the export of data in structured format.
17. Termination
The contract may be terminated:
Due to expiration
For serious breach
Due to non-payment
In the event of termination, the Client may export their data.

18. Modification of the Terms
TIMEGEN may modify these Terms.
The modifications will come into effect 30 days after notification.
The Client may terminate the contract if they do not accept the changes.
19. Assignment
TIMEGEN may transfer the contract to companies within the same group or in the event of corporate restructuring.
The Client may not assign it without prior written consent.
20. Force Majeure
TIMEGEN will not be liable for breaches arising from causes beyond its reasonable control.
21. Applicable Law and Jurisdiction
This contract shall be governed by Spanish law.
For any dispute arising from this agreement, the parties submit to the Courts and Tribunals of Granada, unless otherwise mandated by law.
22. Contractual Integrity
These Terms, together with the Data Processor Agreement and the Privacy Policy, constitute the entire agreement between the parties.
By accepting these terms, the Customer confirms having read and understood the content and agrees to comply with them in full.
